ENERVIS GENERAL TERMS AND CONDITIONS OF SALE, SERVICES AND TECHNICAL OPERATIONS Effective Date: 08 09 2026 These General Terms and Conditions set out the general commercial, contractual and technical principles applicable to the products and services supplied by ENERVIS. Unless otherwise agreed in writing, these General Terms and Conditions shall apply to quotations, orders, sales, services, maintenance activities, technical operations and other commercial transactions between ENERVIS and the Customer. SECTION 1 – GENERAL PROVISIONS 1. Definition These General Terms and Conditions set out the general commercial, contractual and technical principles applicable to products and services supplied by ENERVIS. Unless otherwise agreed in writing, these General Terms and Conditions shall apply to quotations, orders, sales, services, maintenance activities, technical operations and other commercial transactions between ENERVIS and the Customer. 2. Scope These General Terms and Conditions apply to all products and services offered or supplied by ENERVIS, including but not limited to the sale of products and equipment, engineering services, maintenance, technical service, installation, commissioning, consultancy, measurement, analysis, periodic inspections, monitoring and other technical activities. The specific scope, technical specifications, commercial terms and conditions applicable to each transaction shall be determined by the relevant Quotation, Order, Contract or other written agreement between ENERVIS and the Customer. 3. Definitions For the purposes of these General Terms and Conditions: ENERVIS: Enervis A.Ş. Customer: Any natural or legal person purchasing products or services from ENERVIS. Parties: ENERVIS and the Customer collectively. Product: Any device, equipment, system, software, hardware, spare part or consumable supplied or sold by ENERVIS. Service: Engineering, maintenance, technical service, installation, commissioning, consultancy, measurement, analysis, periodic inspection, monitoring and other similar technical activities provided by ENERVIS. Subcontractor / Service Provider: An independent natural or legal person engaged by ENERVIS under a contractual relationship, within its field of expertise, to perform all or part of the services supplied by ENERVIS. Quotation: A price quotation issued by ENERVIS. Order: A purchase instruction issued by the Customer in writing or electronically. Contract: Any sales, service or maintenance agreement entered into between the Parties. Service Report: An official service record prepared by technical personnel in connection with the services performed. Maintenance Agreement: A written agreement governing periodic maintenance services. SLA (Service Level Agreement): A specific service agreement governing response times and agreed service levels. 4. Order of Precedence In the event of any inconsistency or conflict between the documents governing the commercial relationship between ENERVIS and the Customer, the following order of precedence shall apply, unless otherwise expressly agreed in writing: A Contract or specific agreement signed between the Parties, The Quotation issued by ENERVIS and accepted by the Customer, The Customer’s Order accepted by ENERVIS, These General Terms and Conditions, Other written correspondence and documents exchanged between the Parties. Any terms or conditions contained in the Customer’s own purchasing documents shall not override these General Terms and Conditions unless expressly accepted by ENERVIS in writing. 5. Commercial Communications and Correspondence Commercial and technical communications between ENERVIS and the Customer may be conducted in writing, by e-mail or through other electronic communication channels agreed between the Parties. Quotations, order confirmations, technical documents, service reports, notifications and other correspondence sent through the contact details provided by the Parties shall be deemed valid communications between the Parties, subject to applicable law. Each Party is responsible for keeping its contact information up to date and for notifying the other Party of any changes without undue delay. 6. Good Faith and Fair Dealing The Parties shall act in accordance with the principles of good faith, fair dealing and reasonable commercial practice throughout their business relationship. The Customer and ENERVIS shall cooperate in providing the information, documents, site access and other resources reasonably required for the proper performance of the relevant Product supply or Service. Neither Party shall knowingly provide misleading or materially incomplete information that may adversely affect the performance of the contractual obligations. 7. Compliance with Applicable Laws and Regulations ENERVIS and the Customer shall comply with all applicable laws, regulations and mandatory requirements relevant to their respective obligations under the commercial relationship. Technical activities shall be carried out in accordance with the applicable legal requirements, technical standards, occupational health and safety requirements and site-specific rules relevant to the scope of the Service. Where permits, approvals, authorisations or other regulatory requirements are the responsibility of the Customer, the Customer shall ensure that such requirements are fulfilled before the relevant work begins, unless otherwise agreed in writing. 8. Ethics and Compliance ENERVIS conducts its business in accordance with the principles of integrity, transparency, professional responsibility and ethical business conduct. Customers, Subcontractors / Service Providers and other parties working with ENERVIS are expected to comply with applicable laws and to refrain from bribery, corruption, fraud, conflicts of interest and other unlawful or unethical practices. ENERVIS reserves the right to suspend or terminate a commercial relationship where serious violations of applicable law, ethical principles or compliance requirements are identified, subject to the applicable Contract and mandatory provisions of law. SECTION 2 – SALES AND COMMERCIAL TERMS 9. Quotations issued by ENERVIS specify the commercial and technical conditions applicable to the relevant Product or Service. Unless otherwise stated in the Quotation, prices, delivery conditions, payment terms, validity periods and other commercial conditions shall apply only to the relevant Quotation. Any change in the requested scope, quantity, technical specifications, site conditions or other requirements may result in the revision of the Quotation. 10. Validity of Quotations Each Quotation shall remain valid for the period specified therein. Following expiry of the validity period, ENERVIS reserves the right to revise prices, delivery schedules, payment terms and other commercial conditions before accepting an Order. Where significant changes occur in exchange rates, taxes, duties, transportation costs, raw material prices, manufacturer prices or other cost factors beyond ENERVIS’s reasonable control, the commercial conditions may be revised in accordance with the applicable Quotation or Contract and mandatory provisions of law. 11. Orders and Order Confirmation An Order submitted by the Customer shall become binding upon ENERVIS only after it has been accepted or confirmed by ENERVIS in writing or electronically. The Customer is responsible for ensuring that all information contained in the Order, including Product specifications, quantities, delivery details and other requirements, is accurate and complete. Any amendment or cancellation requested after ENERVIS has accepted the Order shall be subject to ENERVIS’s written approval and may result in additional costs. 12. Prices shall be those specified in the relevant Quotation, Order confirmation or Contract. Unless expressly stated otherwise, taxes, duties, transportation, insurance, installation, commissioning, accommodation, travel and other additional costs are not included in the quoted price and may be charged separately where applicable. Any additional Product or Service requested by the Customer outside the agreed scope shall be subject to separate pricing and Customer approval. 13. Payment Terms , currency, payment schedule and due dates shall be specified in the relevant Quotation, Order confirmation or Contract. The Customer shall make payments in full and within the agreed payment periods. In the event of delayed payment, ENERVIS may exercise its rights arising from the applicable Contract and applicable law, including the right to suspend deliveries or Services where legally permissible. Bank charges and other payment-related costs shall be borne by the Party designated in the relevant commercial document or, where no such designation exists, in accordance with applicable banking practices and law. 14. Taxes, Duties and Other Charges Value Added Tax (VAT) and any other applicable taxes, duties, levies or statutory charges shall be applied in accordance with applicable legislation. Unless expressly stated otherwise in the relevant Quotation or Contract, prices shall be considered exclusive of VAT. Any new tax, duty or statutory charge introduced after the date of the Quotation and directly affecting the relevant transaction shall be handled in accordance with applicable law and the agreed commercial terms. 15. Delivery The delivery method, delivery location and estimated delivery schedule shall be specified in the relevant Quotation, Order confirmation or Contract. Delivery periods shall commence after fulfilment of any prerequisites specified by ENERVIS, including receipt of the Order, agreed advance payment, required technical approvals and information to be provided by the Customer. ENERVIS shall inform the Customer within a reasonable period if circumstances arise that may materially affect the anticipated delivery schedule. 16. Transfer of Risk and Title The transfer of risk relating to Products shall take place in accordance with the delivery terms specified in the relevant Quotation, Order confirmation or Contract. Unless otherwise agreed in writing and to the extent permitted by applicable law, ownership of the Products shall remain with ENERVIS until the relevant purchase price has been paid in full. The Customer shall take reasonable measures to protect Products delivered but not yet fully paid for against loss, damage or unauthorised disposal. 17. Inspection and Acceptance of Products The Customer shall inspect delivered Products within a reasonable period following delivery and notify ENERVIS without undue delay of any visible shortage, transport damage, incorrect Product or other apparent non-conformity. Where appropriate, such notification should be supported by delivery records, photographs or other relevant documentation. Hidden defects that could not reasonably have been identified during the initial inspection shall be handled in accordance with the applicable warranty conditions and mandatory provisions of law. 18. Order Cancellation and Changes Requests by the Customer to cancel or modify an accepted Order shall be submitted to ENERVIS in writing. Where Products have been specially ordered, manufactured, configured or procured for the Customer, cancellation or modification may be subject to costs already incurred, supplier commitments and other reasonable expenses resulting from the requested change. Any cancellation, modification, refund or related charge shall be determined in accordance with the relevant Quotation or Contract and applicable law. SECTION 3 – TECHNICAL SERVICES 19. Scope of Technical Services Technical Services provided by ENERVIS may include maintenance, technical support, fault diagnosis, installation, commissioning, periodic inspection, testing, measurement, analysis, energy efficiency services, SCADA and energy monitoring, field services and other similar technical activities. The scope of Technical Services shall be determined in accordance with the Customer’s requirements, the technical characteristics of the relevant system, site conditions and the applicable Quotation or Contract issued by ENERVIS. ENERVIS may engage specialised Subcontractors / Service Providers for the performance of field Technical Services. Subcontractors / Service Providers shall be selected by ENERVIS based on the nature of the Service, technical expertise, competence, location and operational requirements. Services performed by Subcontractors / Service Providers shall be carried out in accordance with the technical scope, service standards, site requirements and reporting procedures determined by ENERVIS. The engagement of a Subcontractor / Service Provider shall not alter the Customer’s contractual relationship with ENERVIS and shall not relieve ENERVIS of its obligations towards the Customer arising from the relevant Quotation, Contract or applicable law. 20. Service Requests and Work Orders Technical Service requests may be submitted to ENERVIS through the communication channels designated by ENERVIS. Following evaluation of the request, ENERVIS may issue a work order, service assignment or other technical instruction defining the scope of the work. The Customer shall provide accurate and sufficient information concerning the relevant equipment, system, fault, operating conditions and site requirements. Where the actual site conditions or technical requirements differ from the information initially provided, ENERVIS may revise the scope, schedule and commercial conditions of the Service accordingly. 21. Site Access and Working Conditions The Customer shall provide ENERVIS and its authorised Subcontractors / Service Providers with safe and reasonable access to the site, equipment and technical areas required for the performance of the Service. The Customer shall inform ENERVIS in advance of any site-specific safety procedures, access restrictions, permits, operational risks or other conditions that may affect the work. Where site conditions present a serious risk to personnel, equipment or the safe performance of the Service, the work may be suspended until appropriate safety conditions have been established. Any additional waiting time, repeated visit or additional work resulting from circumstances attributable to the Customer or the site may be subject to additional charges where applicable. 22. Service Reports and Technical Records Technical activities performed in the field shall, where applicable, be documented through Service Reports, measurement records, photographs, test results or other technical records. Service Reports prepared by technical personnel shall record the work performed, observations made and, where applicable, recommendations concerning the relevant equipment or system. The Customer or its authorised representative may be requested to acknowledge completion of the site visit or receipt of the Service Report. Such acknowledgement shall confirm the performance or receipt of the recorded Service and shall not, by itself, constitute a waiver of any rights available to either Party under the applicable Contract or mandatory law. 23. Technical Findings and Recommendations Technical findings and recommendations issued by ENERVIS shall be based on the conditions observed, measurements obtained and information available at the time of the relevant inspection or Service. Where ENERVIS identifies a condition that may affect operational safety, system reliability, performance or continuity, the Customer may be informed of the recommended corrective action. The Customer shall remain responsible for deciding whether and when to implement recommendations, except where immediate action is required by applicable law or necessary to prevent an imminent safety risk. ENERVIS shall not be responsible for failures, losses or damage resulting from the Customer’s continued operation of equipment contrary to documented technical warnings or recommendations, to the extent permitted by applicable law and subject to the circumstances of the relevant case. SECTION 4 – MAINTENANCE AND PERIODIC INSPECTION SERVICES 24. Maintenance Services Maintenance Services provided by ENERVIS may include scheduled maintenance, preventive maintenance, corrective maintenance and other maintenance activities defined in the relevant Quotation or Maintenance Agreement. The scope and frequency of maintenance shall be determined according to the type of equipment, manufacturer recommendations, operating conditions, operating hours, site conditions and the agreed service programme. Unless otherwise expressly stated in the relevant Quotation or Contract, Maintenance Services shall not be deemed to include the replacement of spare parts, consumables or materials. 25. Maintenance Including Materials Where expressly specified in the relevant Quotation or Maintenance Agreement, ENERVIS may provide Maintenance Including Materials, covering specified spare parts, consumables and maintenance materials in addition to the agreed maintenance activities. The parts and materials included in such Service shall be limited to those expressly identified in the relevant Quotation, Contract or Maintenance Agreement. Components requiring replacement due to failure, misuse, external damage, abnormal operating conditions or causes outside the agreed maintenance scope shall not be considered included unless expressly stated otherwise. Any additional parts, materials or work identified during maintenance shall be subject to Customer approval before being supplied or performed, except where otherwise agreed. 26. Periodic Inspection Services Periodic Inspection Services are intended to assess the operational condition, readiness and general technical status of the relevant equipment or system at specified intervals. Periodic Inspection may include visual inspections, functional checks, operating measurements, alarm checks, battery checks, control system checks and other technical assessments defined in the applicable Service scope. Periodic Inspection is not equivalent to Maintenance Including Materials and does not, unless expressly agreed otherwise, include the replacement of filters, oils, coolants, batteries, spare parts, consumables or other materials. Findings identified during Periodic Inspection may be reported to the Customer together with recommendations for maintenance, repair, replacement or further technical investigation where appropriate. 27. Maintenance and Inspection Schedule The frequency and planned dates of Maintenance or Periodic Inspection Services shall be determined in the relevant Quotation, Contract, Maintenance Agreement or agreed service programme. Planned service dates may be coordinated between ENERVIS and the Customer according to operational requirements, site availability and technical conditions. The Customer shall provide reasonable access to the relevant equipment on the agreed service date. Where a planned visit cannot be performed due to Customer-related access restrictions, operational conditions or other circumstances at the site, the visit may be rescheduled and any resulting additional costs may be charged where applicable. 28. Spare Parts and Consumables Spare parts, consumables and replacement materials required during Technical Services shall be supplied in accordance with the relevant Quotation, Contract or Customer approval. Depending on availability and technical requirements, ENERVIS may supply original equipment manufacturer (OEM) parts or technically compatible equivalent parts, provided that the type of part to be used is consistent with the relevant commercial agreement and applicable technical requirements. Where Customer-supplied parts or materials are used, ENERVIS shall not be responsible for defects or failures directly attributable to the quality, compatibility, specification or condition of such Customer-supplied items, except to the extent otherwise required by applicable law. 29. Additional Work Identified During Service Where additional faults, deficiencies or technical requirements outside the agreed Service scope are identified during Maintenance, Periodic Inspection or other Technical Services, ENERVIS shall inform the Customer where reasonably practicable. Additional repairs, replacement of parts or other work outside the agreed scope shall be subject to a separate Quotation or Customer approval. Where an immediate intervention is necessary to prevent an imminent risk to personnel, property or equipment, ENERVIS may recommend that the relevant equipment be shut down or isolated until appropriate corrective action has been taken. 30. Customer Responsibilities for Maintenance and Inspection The Customer shall operate the equipment in accordance with applicable operating instructions and shall not knowingly continue operation under conditions that may create an unreasonable safety or equipment risk. The Customer shall inform ENERVIS of known faults, alarms, abnormal operating conditions, previous interventions or other information reasonably relevant to the Service. The performance of Maintenance or Periodic Inspection Services by ENERVIS does not relieve the Customer of its responsibility for routine operational monitoring, safe operation of the equipment and compliance with mandatory site and regulatory requirements. SECTION 5 – INSTALLATION, COMMISSIONING AND FIELD OPERATIONS 31. Installation Services Where included in the relevant Quotation or Contract, ENERVIS may provide installation services for Products, equipment and systems supplied by ENERVIS or otherwise agreed with the Customer. The scope of installation shall be limited to the works expressly specified in the relevant Quotation or Contract. Civil works, structural modifications, electrical infrastructure, cabling, piping, ventilation, lifting operations, permits and other preparatory works shall be the responsibility of the Customer unless expressly included in the agreed scope. 32. Site Preparation Before installation or commissioning begins, the Customer shall ensure that the site is suitable and ready for the relevant work. Required foundations, access routes, electrical connections, ventilation arrangements, fuel systems, communication infrastructure and other technical requirements shall be completed in accordance with the applicable project requirements unless otherwise agreed in writing. Any delay, additional work or repeated visit resulting from incomplete or unsuitable site conditions may affect the project schedule and may be subject to additional charges. 33. Commissioning Commissioning Services may include visual inspections, connection checks, functional tests, operating tests, parameter verification and other procedures required to confirm that the relevant equipment or system is ready for operation within the agreed scope. Commissioning shall be performed in accordance with the applicable technical documentation, manufacturer requirements and agreed project conditions. Where commissioning cannot be completed due to incomplete infrastructure, missing utilities, unsuitable site conditions or circumstances outside ENERVIS’s reasonable control, an additional visit may be scheduled. 34. Testing and Measurements ENERVIS may perform electrical, mechanical or operational tests and measurements as part of installation, commissioning, Maintenance, Periodic Inspection or other Technical Services. Test and measurement results shall reflect the conditions existing at the time of the relevant activity. Where required by the scope of the Service, measurements shall be performed using equipment suitable for the intended technical purpose. Any test requiring special equipment, load banks, external laboratories, certification bodies or additional specialist services shall be separately specified in the relevant Quotation or Contract unless expressly included. 35. Load Bank Testing Where requested by the Customer and included in the agreed scope, ENERVIS may perform or arrange load bank testing of generator sets, UPS systems or other applicable power systems. The test procedure, load levels, duration and operating conditions shall be determined according to the technical characteristics of the equipment and the agreed test programme. Fuel consumption, temporary cabling, transportation, load bank equipment and other resources required for the test shall be included only where expressly stated in the relevant Quotation. Any limitations or abnormalities identified during the test shall be recorded and communicated to the Customer where appropriate. 36. Shutdowns and Operational Coordination Where Technical Services require the shutdown, isolation or transfer of electrical or mechanical systems, such activities shall be coordinated with the Customer’s authorised personnel. The Customer shall be responsible for evaluating the operational impact of planned shutdowns and for taking appropriate measures to protect its processes, data, equipment and operations. ENERVIS shall not initiate a planned shutdown without the required Customer authorisation, except where immediate action is necessary to address an imminent safety risk and such action is legally permissible. 37. Customer-Supplied Infrastructure and Equipment Where ENERVIS performs Services on infrastructure, equipment or systems supplied, installed or modified by the Customer or third parties, the Customer shall provide available technical documentation and relevant information concerning such systems. ENERVIS shall not be responsible for pre-existing defects, incorrect installation, unsuitable design, unauthorised modifications or other deficiencies in Customer- or third-party-supplied infrastructure, except where such matters fall within the scope expressly assumed by ENERVIS. Where such conditions prevent safe or proper performance of the Service, ENERVIS may suspend the relevant work and recommend corrective action. 38. Completion of Field Operations Upon completion of the relevant field activity, ENERVIS or its authorised Subcontractor / Service Provider may prepare a Service Report, commissioning record, test report or other applicable technical documentation. Where required, the Customer’s authorised representative may be requested to acknowledge completion of the field activity. Any outstanding items, recommendations or additional work identified during the activity may be recorded separately and, where outside the agreed scope, may be subject to a separate Quotation. SECTION 6 – WARRANTY, LIABILITY AND TECHNICAL RESPONSIBILITY 39. Product Warranty Products supplied by ENERVIS shall be subject to the warranty conditions specified in the relevant Quotation, Contract, warranty certificate or manufacturer documentation, as applicable. The warranty period, scope and conditions may vary depending on the Product, manufacturer and agreed commercial terms. Unless otherwise expressly agreed in writing, ENERVIS shall not provide any warranty beyond the warranty expressly applicable to the relevant Product or Service. Mandatory rights arising under applicable law shall remain unaffected. 40. Service Warranty ENERVIS warrants that Technical Services shall be performed with reasonable professional care and in accordance with the agreed scope. Where a defect is directly attributable to a Service performed by ENERVIS or its authorised Subcontractor / Service Provider, ENERVIS shall assess the matter and, where appropriate, arrange corrective work within a reasonable period. The Service Warranty shall apply only to the work actually performed and shall not extend to unrelated faults, pre-existing defects, normal wear and tear or failures caused by circumstances outside the agreed Service scope. 41. Warranty Exclusions Unless otherwise required by mandatory law, warranty coverage shall not apply to defects, failures or damage resulting from: misuse, improper operation or failure to follow operating instructions; unauthorised modification, repair or intervention; unsuitable environmental or site conditions; external electrical or mechanical influences; incorrect or inadequate fuel, lubricants, coolants or other consumables; accident, impact, flooding, fire or other external events; normal wear and tear; Customer- or third-party-supplied parts or materials; failure to perform required maintenance or recommended corrective actions; or Force Majeure Events. The applicability of any warranty exclusion shall be assessed according to the circumstances and technical cause of the relevant failure. 42. Manufacturer Warranties Where Products supplied by ENERVIS are covered by a manufacturer’s warranty, the applicable manufacturer warranty conditions may form part of the warranty framework. ENERVIS may assist the Customer in coordinating warranty claims with the relevant manufacturer or supplier where appropriate. Acceptance of a warranty claim shall remain subject to the applicable warranty conditions and technical assessment. 43. Third-Party Interventions The Customer shall inform ENERVIS of any material repair, modification, adjustment or technical intervention performed by third parties on equipment covered by an active ENERVIS Service or Maintenance Agreement where such intervention may affect ENERVIS’s obligations. ENERVIS shall not be responsible for faults, damage or performance issues directly resulting from unauthorised or technically unsuitable third-party interventions. Where necessary, ENERVIS may require a technical inspection before continuing Services on equipment that has been materially modified or repaired by a third party. 44. Limitation of Liability Each Party shall be responsible for direct losses or damage attributable to its breach of contractual or legal obligations, subject to the relevant Contract and applicable law. To the extent permitted by applicable law, ENERVIS shall not be liable for indirect or consequential losses, including loss of production, loss of profit, loss of business, loss of data or similar economic losses, unless otherwise expressly agreed in writing or required by mandatory law. Any contractual limitation of liability shall not apply where such limitation is prohibited by mandatory law. 45. Operational Continuity and Backup Systems The Customer is responsible for evaluating the operational risks associated with its facility and for maintaining appropriate redundancy, backup systems, emergency procedures and business continuity arrangements according to the criticality of its operations. Maintenance, Periodic Inspection, monitoring or other Technical Services provided by ENERVIS shall not constitute a guarantee that equipment will never fail or that interruptions will never occur. Where ENERVIS identifies material risks affecting system availability or reliability, such findings may be communicated to the Customer together with appropriate technical recommendations. 46. Pre-Existing Conditions and Hidden Defects ENERVIS shall not be responsible for defects or deficiencies that existed before commencement of the relevant Service and could not reasonably have been identified within the agreed scope. Where a hidden defect or previously unknown condition is identified during the Service, ENERVIS shall inform the Customer where reasonably practicable and may recommend further inspection, repair or corrective work. Any additional work required as a result shall be subject to separate agreement unless already included in the applicable Service scope. 47. Customer Decisions and Continued Operation Where ENERVIS recommends repair, replacement, shutdown, further testing or another corrective action, the Customer shall be responsible for deciding whether to implement such recommendation, except where mandatory legal requirements apply. If the Customer elects to continue operating equipment despite a documented warning concerning a material technical or safety risk, ENERVIS shall not be responsible for losses or damage directly resulting from the condition identified in that warning, to the extent permitted by applicable law. SECTION 7 – CONFIDENTIALITY, DATA AND SUBCONTRACTORS 48. Confidentiality Each Party shall keep confidential any commercial, technical, financial or operational information obtained from the other Party in connection with the business relationship and which is identified as confidential or should reasonably be understood to be confidential by its nature. Confidential information shall not be disclosed to third parties except where such disclosure is necessary for the performance of the relevant Service, required by applicable law or authorised by the other Party. ENERVIS may share information necessary for the performance of the Service with its employees, Subcontractors / Service Providers and professional advisers, provided that appropriate confidentiality obligations apply. Confidentiality obligations shall continue after termination of the relevant commercial relationship to the extent required by the applicable Contract and law. 49. Personal Data Protection The Parties shall process personal data obtained within the scope of their commercial relationship in accordance with applicable personal data protection legislation, including the Turkish Personal Data Protection Law No. 6698 (KVKK), where applicable. Personal data shall be processed only to the extent necessary for legitimate commercial, contractual, operational and legal purposes and shall be protected through appropriate administrative and technical measures. Where personal data is shared with Subcontractors / Service Providers for the performance of Technical Services, such sharing shall be limited to what is reasonably necessary for the relevant Service and shall be subject to applicable legal requirements. 50. Technical Data and System Information Technical data obtained during measurement, monitoring, maintenance, commissioning, SCADA, energy management or other Technical Services may include equipment parameters, operating values, alarm records, consumption data, measurement results and similar system information. Such data may be used by ENERVIS to perform the agreed Service, prepare technical reports, identify faults, evaluate system performance and develop recommendations. ENERVIS shall take reasonable measures to protect technical and operational information obtained from Customer systems against unauthorised access or disclosure. Any specific requirements concerning data ownership, retention, access, storage or transfer may be separately regulated in the relevant Contract or Service agreement. 51. Intellectual Property Rights All intellectual property rights relating to ENERVIS trademarks, logos, trade names, technical documents, methodologies, software, designs, reports, templates and other proprietary materials shall remain with ENERVIS or the relevant rights holder, as applicable. The supply of a Product or Service shall not constitute the transfer of any intellectual property right unless expressly agreed in writing. The Customer may use documents and technical materials supplied by ENERVIS for their intended internal business purpose but shall not reproduce, distribute, commercially exploit or make them available to third parties beyond such purpose without prior authorisation, except where permitted by law. 52. Software, SCADA and Digital Services Where ENERVIS provides software, SCADA, remote monitoring, cloud-based services, gateways, communication devices or other digital solutions, the scope and conditions of use shall be determined by the relevant Quotation, Contract, licence terms or Service agreement. Availability of remote monitoring and digital Services may depend on internet connectivity, mobile networks, third-party platforms, cloud infrastructure, Customer networks and other external systems. Unless expressly agreed otherwise, temporary interruption or reduced availability caused by such external infrastructure shall not by itself constitute a failure by ENERVIS to provide the Service. Customer access credentials and authorised user accounts shall be kept secure by the Customer and shall not be shared with unauthorised persons. 53. Records and Documentation ENERVIS may retain Quotations, Orders, Service Reports, technical records, measurement results, correspondence and other documentation relating to Products and Services for operational, contractual, quality, legal and record-keeping purposes. Documents may be maintained in physical or electronic form in accordance with applicable legal requirements and ENERVIS’s internal document management procedures. Where documentation is provided to the Customer electronically, such electronic documentation may be used as part of the technical and commercial records relating to the relevant Service. 54. Subcontractors / Service Providers ENERVIS may engage qualified Subcontractors / Service Providers for the performance of Technical Services, including maintenance, technical service, fault diagnosis, installation, commissioning, Periodic Inspection, testing, measurement and other field activities. Subcontractors / Service Providers shall operate within the scope assigned by ENERVIS and shall be expected to comply with applicable technical requirements, occupational health and safety rules, site procedures, confidentiality obligations and ENERVIS service and reporting standards. The Customer acknowledges that field activities may be performed by a Subcontractor / Service Provider appointed by ENERVIS. Such appointment shall not establish a separate contractual relationship between the Customer and the Subcontractor / Service Provider in respect of the Service contracted through ENERVIS. Unless otherwise expressly agreed, commercial coordination, Service scope, reporting, invoicing and collection relating to such Services shall be managed through ENERVIS. The engagement of a Subcontractor / Service Provider shall not relieve ENERVIS of its obligations towards the Customer under the applicable Quotation, Contract or mandatory provisions of law. The working principles applicable to Subcontractors / Service Providers engaged by ENERVIS may also be governed by the ENERVIS Technical Services Subcontractor / Service Provider Framework Agreement. SECTION 8 – FINAL PROVISIONS 55. Term and Termination The duration of any Contract, Maintenance Agreement, SLA or other continuing Service arrangement shall be as specified in the relevant agreement. Either Party may terminate such agreement in accordance with the termination provisions specified therein and applicable law. Where a Party materially breaches its contractual obligations and fails to remedy such breach within a reasonable period following written notice, the other Party may exercise its contractual and legal rights, including termination where applicable. Termination shall not affect any rights, payment obligations, liabilities or claims accrued prior to the effective date of termination. 56. Suspension of Services ENERVIS may suspend the performance of Services where the Customer fails to fulfil material contractual obligations, including overdue payment obligations, failure to provide safe site access or failure to provide information or approvals necessary for performance of the Service. Where reasonably practicable, ENERVIS shall inform the Customer before suspending the relevant Service. Services may also be suspended immediately where continuation of the work would create a serious risk to personnel, equipment, property or the safe operation of the relevant system. Suspension of a Service shall not waive any rights or obligations accrued prior to the suspension. 57. Force Majeure Neither Party shall be liable for delay or failure to perform its obligations to the extent caused by events beyond its reasonable control, including natural disasters, fire, flood, earthquake, epidemic or pandemic, war, terrorism, civil disturbance, governmental restrictions, strikes, major transportation disruptions, widespread energy interruptions, communication failures or similar events constituting force majeure under applicable law. The affected Party shall inform the other Party within a reasonable period where the Force Majeure Event materially affects its ability to perform its obligations. Performance periods affected by Force Majeure may be extended for a reasonable period corresponding to the effects of the relevant event. Where the Force Majeure Event continues for a prolonged period and materially prevents performance, the Parties may exercise any termination or other rights available under the applicable Contract and law. 58. Notices Notices and commercial communications between the Parties shall be made through the addresses, e-mail addresses, registered electronic mail (KEP) addresses or other communication channels specified in the relevant Contract, Quotation, Order or official company records, as applicable. Each Party shall be responsible for notifying the other Party of changes to its contact information. Formal notices that are required by applicable law to be delivered through a specific method shall be made in accordance with such legal requirements. 59. Amendments ENERVIS may update these General Terms and Conditions from time to time to reflect changes in its Services, commercial practices, technical requirements or applicable legislation. The version applicable to a particular transaction shall be determined according to the relevant Quotation, Contract, Order and the version of these General Terms and Conditions applicable to that transaction. Any amendment to a specific Contract between the Parties shall be valid only where made in accordance with the amendment requirements of that Contract and applicable law. 60. Severability If any provision of these General Terms and Conditions is held to be invalid, unlawful or unenforceable, such provision shall, to the extent possible, be interpreted or limited in a manner that preserves its intended commercial purpose. The invalidity or unenforceability of one provision shall not affect the validity or enforceability of the remaining provisions. 61. Governing Law and Jurisdiction These General Terms and Conditions and the commercial relationship between ENERVIS and the Customer shall be governed by the laws of the Republic of Türkiye, unless otherwise expressly agreed in writing. Subject to mandatory provisions of applicable law, disputes arising out of or in connection with these General Terms and Conditions, the relevant Quotation, Order, Contract or Services shall be subject to the jurisdiction of the competent courts and enforcement offices of Bursa, Türkiye, unless otherwise agreed in writing. 62. Language and Prevailing Version These General Terms and Conditions have been prepared in Turkish and may also be made available in English for the convenience of international Customers and business partners. The English version is intended to provide an accurate representation of the Turkish version. In the event of any inconsistency, difference in interpretation or conflict between the Turkish and English versions, the Turkish version shall prevail, unless otherwise expressly agreed in writing between the Parties.
